These Terms are a binding agreement between you and Cocient Inc., a Delaware corporation ("Cocient", "we", "us"). They apply when you create an account, complete a profile, take an interview, or perform work through Cocient.
By creating an account you accept these Terms and our Privacy Policy. If you do not accept them, do not create an account.
If you accept these Terms on behalf of a company, you confirm you have authority to bind it.
You may use Cocient only if you:
Cocient is a professional platform. It is not intended for, and not directed to, anyone under 18.
You are responsible for your account and for everything done through it. Keep your credentials to yourself. Tell us promptly at security@cocient.com if you believe someone else has access.
One person, one account. You may not create an account for anyone else, share an account, or let another person complete any part of your profile, interview, or work.
Cocient connects domain experts with organisations building and evaluating AI systems. We assess expertise, build a capability profile, and where a suitable engagement exists, we may match you to it.
Creating an account does not entitle you to work. Completing a profile or an interview does not entitle you to work. We make no promise that any engagement will be offered to you, at any time, in any volume, or at any rate. Availability depends on what our clients need, and may be zero for extended periods.
To build your profile you complete an interview that is conducted and evaluated by an AI system, not by a person. You will be shown a consent screen before it begins.
You agree that:
You may not use another person, a script, or any AI tool to generate, rehearse, or supply your answers. Doing so misrepresents your expertise to us and to our clients, and is grounds for removal under §11. This is not a formality — the entire value of what Cocient sells is that a real expert answered.
We may re-interview you, ask you to refresh your profile periodically, or decline to publish a profile.
Accommodations. If a disability or another circumstance prevents you from completing a spoken, on-camera interview, contact us at support@cocient.com before you begin. We consider requests for an alternative arrangement individually.
You are an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and Cocient or between you and any client.
You control how and when you perform work you accept, subject to the requirements of the specific engagement. You are responsible for your own taxes, insurance, and any benefits. Cocient does not withhold taxes on your behalf.
An engagement may require you to use third-party workforce activity monitoring software as a condition of accepting it, at the client’s or Cocient’s direction. If an engagement has this requirement, we will tell you before any monitoring begins. Declining it means declining that engagement — it does not affect your account or your standing for other engagements. Monitoring, where required, is limited to the hours you bill on that engagement and does not apply to any other time. It records that billed work happened and for how long; Cocient does not use it to direct the manner, schedule, or hours of your work.
You are free to work for anyone else, including our competitors, except where a specific engagement you accept says otherwise in writing.
How we collect, use, and retain your information is described in our Privacy Policy, which forms part of these Terms.
Where an engagement requires it, you may need to verify your identity through our verification provider, which involves submitting a government-issued ID. You may decline, but we may then be unable to offer you paid work.
8.1 What you produce. Work you perform through Cocient — including written responses, evaluations, annotations, rankings, explanations, corrections, and any other material you create in the course of an engagement — is "Work Product".
8.2 Assignment. You assign to Cocient all right, title, and interest in Work Product, including all intellectual property rights, effective on creation. Where an assignment is not legally possible, you grant Cocient a worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to use it for any purpose. You agree to sign anything reasonably needed to give effect to this.
8.3 You keep what was already yours. This section does not transfer anything you created before or outside your engagement with Cocient, and does not restrict your general skills, knowledge, or professional experience.
8.4 Your profile. You grant Cocient a licence to use your capability profile, including material derived from your interview and resume, to present you to prospective clients and to operate the platform. You can ask us to stop and to delete your account at any time, as described in the Privacy Policy.
8.5 Cocient's own property. The platform, its software, evaluation methods, interview design, and branding remain ours. Using Cocient gives you no rights in them.
8.6 Original work. You confirm Work Product is your own and does not infringe anyone else's rights, that you have the right to provide it, and that you have not included anyone's confidential information without permission.
Engagements often expose you to non-public information belonging to Cocient or a client — including the existence of the engagement, the client's identity, task content, and methods.
You agree to keep it confidential, use it only to perform the engagement, and not disclose it to anyone. This survives the end of your engagement and of these Terms.
Individual engagements may require you to sign a separate confidentiality agreement. Where its terms are stricter, those terms apply.
Where you accept an engagement, its rate, structure, and payment schedule are set out in the offer for that engagement. You are paid for work that is submitted and accepted in accordance with that engagement's terms.
Payments are made through our payment provider, and you must complete its onboarding before you can be paid. You are responsible for the accuracy of the payment and tax details you provide.
We may withhold payment for work that was not performed, was misrepresented, or breached these Terms.
You may not:
We may suspend or remove your account, withhold unpaid amounts for work affected by a breach, and decline to work with you in future. Where a removal is for misrepresentation or a serious breach, we may retain a limited record for the purpose of preventing the same person from returning under a new account — this is described in the Privacy Policy.
You may close your account at any time.
Cocient is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the platform will be uninterrupted or error-free, that any assessment of your expertise is accurate, or that any engagement will be available.
To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost opportunities, however caused.
Our total liability to you for any claim arising out of these Terms is limited to the greater of the amounts we paid you in the twelve months before the claim arose, or one hundred US dollars.
Nothing here limits liability that cannot be limited by law.
You will indemnify Cocient against claims, losses, and reasonable costs arising from your breach of these Terms, your misrepresentation of your identity or expertise, or any claim that your Work Product infringes someone's rights.
We may change these Terms. If a change is material we will give notice — by email, or by a notice on the platform — and update the date below. Continuing to use Cocient after a change takes effect means you accept it. If you do not accept it, close your account.
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
16.1 Talk to us first. Before starting arbitration, you agree to send a written description of the dispute and the relief you want to legal@cocient.com, and to give us 60 days to resolve it. We will do the same before bringing a claim against you. Any limitation period is paused while this runs.
16.2 Binding individual arbitration. Any dispute arising out of or relating to these Terms or your use of Cocient that is not resolved under 16.1 will be settled by final and binding arbitration administered by the American Arbitration Association under its rules for commercial disputes, before a single arbitrator. Hearings are held remotely unless both parties agree otherwise, so neither of us has to travel. The arbitrator decides all questions of arbitrability, and the award may be entered as a judgment in any court with jurisdiction.
16.3 No class or representative actions. All claims are brought individually. You and Cocient each waive any right to bring or participate in a class, collective, consolidated, or representative action, and the arbitrator has no authority to hear one or to award relief to anyone who is not a party. If this paragraph is held unenforceable as to a particular claim, that claim proceeds in court and the rest of this section still applies to every other claim.
16.4 Jury trial waiver. Where a claim proceeds in court rather than in arbitration, you and Cocient each waive any right to a jury trial.
16.5 What is not arbitrated. Either party may bring a claim in small claims court if it qualifies, and either party may ask a court for an injunction or other equitable relief to stop a breach of §8 (intellectual property) or §9 (confidentiality) without first going through 16.1 or 16.2. Claims that applicable law does not permit to be arbitrated proceed in court.
16.6 Costs. You pay the filing fee you would pay to start a case in court; Cocient pays the remaining administrative and arbitrator fees. Each party otherwise bears its own costs and legal fees, except where a statute or the arbitrator says otherwise.
16.7 Venue for anything in court. Where a dispute proceeds in court under 16.5 or otherwise, it is brought exclusively in the state or federal courts located in Delaware, and both parties consent to jurisdiction there.
16.8 You can opt out. You may reject 16.2 through 16.4 by emailing legal@cocient.com within 30 days of first accepting these Terms, saying that you opt out of arbitration and giving the email on your account. Opting out changes nothing else, and does not affect your account or your eligibility for work.
If any provision is unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not transfer these Terms; we may, in connection with a merger, acquisition, or sale of assets. These Terms and the Privacy Policy are the entire agreement between us about the platform.
